Terms of Service
This document is provided for transparency during our market-testing phase.
1. Agreement and operator
These Terms of Service ("Terms") govern your use of the Orbis Signal website and subscription services operated by Jan Wir-Konas (trading as Orbis Signal), Auf der Dorn 24, 40764 Langenfeld (Rheinland), Germany.
By creating an account, starting a subscription, or using the service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
We are currently in a market-testing phase prior to forming a registered company. The operator named above is the contracting party until we notify you otherwise.
2. The service
Orbis Signal provides digital intelligence briefings and related online content to subscribers. Features may include individual plans, team (organization) plans with multiple seats, trials or promotional access where offered, and account management through our website and Stripe's customer portal.
We may update content, features, and pricing with reasonable notice where required by law or contract. Briefing content reflects our editorial process; it is information and analysis, not individualized investment, legal, or professional advice.
3. Eligibility
You must be at least 16 years old and able to enter a binding contract. The service is not intended for children. Team administrators must have authority to invite colleagues and, where applicable, bind their organization.
4. Accounts and security
- You must provide accurate information and keep your sign-in credentials confidential.
- You are responsible for activity under your account except where caused by our fault.
- Notify us promptly at contact@orbis-signal.com if you suspect unauthorized access.
- We may suspend or terminate accounts for breach of these Terms, abuse, or legal requirement.
5. Trials and promotional access
We may offer free trials, invite codes, or promotional periods. These are for genuine evaluation only. You must not abuse trials (including repeated sign-ups, identity evasion, automated redemption, or reselling access). We may revoke promotional access and refuse future trials if we detect abuse.
6. Subscriptions, billing, and renewal
- Individual plans: you contract directly with us as a consumer or business customer depending on how you sign up.
- Team plans: the organization administrator who completes checkout contracts on behalf of the team for seats and billing; invited members receive access under that subscription.
- Fees, billing interval (monthly or annual), and taxes are shown at checkout and in Stripe's customer portal.
- Subscriptions renew automatically until canceled through the billing portal or as otherwise stated at purchase.
- Payment processing is provided by Stripe; their terms and privacy policy apply to payment handling.
- If payment fails, we may suspend access after any grace period shown in-product or by Stripe.
7. Right of withdrawal (EU/EEA consumers)
If you are a consumer in the EU/EEA buying online, you generally have a 14-day right to withdraw from distance contracts under consumer protection law.
For digital content supplied immediately after purchase, the withdrawal right may be lost if you expressly consent to immediate performance and acknowledge that you lose the withdrawal right once delivery begins — as presented at checkout where applicable.
To withdraw where still available, contact contact@orbis-signal.com within 14 days with a clear statement. Refunds, if due, are processed via Stripe according to law.
8. Cancellation and refunds
You may cancel renewal at any time via the Stripe customer portal (effective at the end of the current paid period unless otherwise stated). We do not generally provide refunds for partial billing periods already started, except where required by law or explicitly offered in writing.
9. License to content
- Individual subscribers: a personal, non-commercial license to access and read briefings for your own internal use. You may not resell, republish, scrape, systematically copy, or redistribute briefings to third parties.
- Team / organization subscribers: a commerciallicense for access by your organization's authorized members for internal business use. You may not sell, sublicense, or externally redistribute briefings to unaffiliated third parties.
- All intellectual property in the service and content remains with us or our licensors.
10. Acceptable use
You must not:
- Scrape, crawl, or harvest the service or content by automated means.
- Resell or publicly republish briefings or access credentials.
- Circumvent access controls, seat limits, or paywalls.
- Upload malware, attack infrastructure, or harass staff or other users.
- Use the service unlawfully or infringe third-party rights.
11. Availability and changes
We aim for reliable availability but do not guarantee uninterrupted access. Maintenance, third-party outages, or force majeure may cause downtime. We may modify or discontinue features; for material adverse changes to paid features we will provide notice where reasonable and required by law.
12. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body, or health, and under the German Product Liability Act where applicable.
For slight negligence we are liable only for breach of essential contractual duties (cardinal obligations), limited to foreseeable, typical damage at the time of contract. Essential duties are those whose fulfilment enables the contract and on which you may rely.
Briefings are informational. We are not liable for decisions you make based on content except as liability cannot be excluded under mandatory law.

14. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods, unless mandatory consumer protection laws of your country of residence provide otherwise.
If you are a merchant, legal entity under public law, or special fund under public law, the exclusive place of jurisdiction for disputes is the courts of North Rhine-Westphalia (NRW), where legally permitted.
EU consumers may also use the European Online Dispute Resolution platform where applicable.
